Ok, Im a dork - I appreciate everyone's help - I figured it out.

My FTP program has mixed feelings about what is binary and what is ascii.
I had to give it a lesson (forced ascii) when transferring the source to
the server.  Now all is well, sorry for the wasted bandwidth!!!
